These terms of service are the legal framework that deals with your rights and obligations for using the CrazyLlama Platform service. They are the sole agreement between Easylinkz Limited., and yourself.

Overview

These terms of service are the legal framework that deals with your rights and obligations for using the Crazy Llama service. They are the sole agreement between Easylinkz Limited., and yourself.

By registering to the service, you agree to these terms and understand that they are binding. These terms include some obligations on your behalf on how to use the services, including to only use the service for its intended purposes, to only use it for booking flights and additional flight services that you have the permission to do, and to collect our fees.

Please note that our results may not be complete or accurate, and you are required to check the transactions before executing them.

When you use the services, we also keep some data relating to you and to your use (as well as for the booking that you made); this is done according to our privacy policy. We also share some data with service providers in order to provide you with a better experience.

Lastly, no matter what, you take all risks associated with using the service. We can’t be held liable and can’t ensure that the services will be error-free, accurate or otherwise meet your needs.

We request that you read the full terms, as they are the only agreement between us.

Registration, User Accounts and Verification

The use of our services is for registered users only. In order to use the services, you shall be required to set up a user account and to agree to these terms.

Who Can Register?

In order to register for the services, you will need to abide by our eligibility terms. This means that: (i) you are an adult, or if you are under eighteen and over thirteen, you obtained your parents permission and both of you agree to these terms. If you are under thirteen, you cannot register and use the service; (ii) you are solvent; meaning you were not prohibited from entering into binding agreements that may cause any indebtedness; (iii) if you are a corporation, then you obtained all required corporate consents and approvals to enter into these terms and the person agreeing these terms is a designated agent of the company; (iv) you are not a resident of any proscribed state by the US State Department; (v) you are not a member of a terror organization.

Account Security and Usage

Our policy is that each user should have his own account. Sharing your login credentials means that you are providing another person control over your contractual rights and over your relationship with us (including financial activity). Therefore, shared accounts are prohibited. If you are a corporation, we will allow you to open sub-accounts per agent, but you will still be liable for your employees and agents’ activities.

The types and roles of sub-accounts may be a supervisor, an operator or an agent. The account owner may define their exact rights, responsibilities and roles.

You should secure your account and choose a strong password. A strong password is hard to guess and easy to remember. Something like ,7ADJEaq]G@` is hard to guess, but also hard to remember. Something like “love” or “secret” is easy to guess.

Bone Fide Use

We employ a strict Acceptable Use Policy, which a violation of may cause termination of your account and suspending all funds held until further investigations. 

The Acceptable Use Policy limits: (a) the use of the services to a reasonable level; (b) a limit on using the service with harmful content, such as content infringing on the rights of third parties or the law (c) use of the services to compete with us; (d) reselling or relicensing the service to others; (e) use of the services to commit a crime; (f) use of the services to access unauthorized material; and (g) generation of false clicks or traffic. 

You shall not: (i) copy, distribute or modify any part of the service without our prior written authorization; (ii) use, modify, create derivative works of, transfer (by sale, resale, license, sublicense, download or otherwise), reproduce, distribute, display or disclose Content (as defined below), except as expressly authorized herein; (iii) disrupt servers or networks connected to the service; (iv) use or launch any automated system (including without limitation, “robots” and “spiders”) to access the service; and/or (v) circumvent, disable or otherwise interfere with security-related features of the service or features that prevent or restrict use or copying of any Content.

How to Register?

In order to register you will need to provide your email address, a username, which is unique, as well as other data required to provision an account.

After filling out information in our sign-in form, you will receive a temporary password for your first login. We require that you change your password after the first login.

We might use your email address to verify your identity or to contact you later on.

The Services

We provide some services, and may add or remove some services according to our sole discretion. Please make sure that you don’t rely on the services in any mission-critical use, such as medical use or military use, as they may change over time.

Credential Management

In order to manage the services on your behalf, you shall provide us with the appropriate credentials, usernames, passwords, API keys or other means required to interact with your services. We will keep these stored and available for you on our servers and available via the services.

Flight Booking

We will provide you with a flight booking service that interacts with your own credentials at service providers that we can interact with. This service provider list will be updated from time to time and shall be made available to you.

When you update your booking credentials with such a service provider, we will be able to provide you with a booking service via our browser extension and website.

Please note that when interacting with third parties, all payments relating to the ticketing and other payments to those third parties is your responsibility; i.e tickets, API fees and other commissions.

Price Comparison

We may provide you with a price comparison service that provides you with a comparison between similar flights to similar destinations.

Our price comparison service may be lacking the full results and may not provide you with accurate information as it relies on a third party data provider. It may also not include all booking charges, fees and our fee.

Please ensure that you inspected and checked the pricing before making a booking using our system.

Browser Extension

We may also provide you with a browser extension to use in order to interact with us. This browser extension collects data according to our privacy policy, and may share such data with third parties.

We provide you with a limited, non-sublicensable, temporary, license to use our browser extension. You may not provide any person with a copy of our browser extension, nor may you reverse-engineer, decompile, circumvent or otherwise attempt to make our source code or features available.

Payment

We provide our services according to a pricing schedule. This schedule is executed separately per client and may include any of the following: (i) a set-up fee; (ii) a monthly retainer for maintenance and support; (iii) transaction fees, including minimal transaction fees or packages including a specific number of transactions; (iv) overage fees for excess usage; (v) advanced support fees; (vi) any other fees.

Our payment and fees do not include your fees for gateways, payment providers, ticketing and other services you may acquire.

In case you submitted a request via our services for an action, you shall be billed and processed, even if such action failed during submission, as long as our staff processed the request manually. You shall be provided notification on this action. Do not repeat a failed submission without contacting our support first.

All payments shall be made using a credit card, wire transfer or other methods. Where monthly recurring fees shall be charged in advance and transactional-based fees and overage fees will be charged on the first business day of each month (and will wait for processing for 15 calendar days), for that previous month.

Failure to pay any payment on time, which was not resolved after our notice, may result in your suspension or termination of the service, as well as forfeiting any advance or deposit you may have deposited with us.

We charge a late fee of US$250 for any late payments, including an interest of 0.5% per month.

Acknowledgement of our Privacy Policy

You are required to agree to our Privacy Policy as a part of this Agreement. Moreover, you are required to obtain your passenger’s consent to our privacy policy when processing their data.

 

Intellectual Property Rights

We hold all intellectual property rights in our services and browser extensions, and nothing in this Agreement shall transfer any rights to you. You own all intellectual property rights in your services. You may not use our brand name and our trademarks, we retain full ownership in them. During the term of our relationship, we will allow you temporary access to our services, all according to these terms of service; however, this right does not convey any other rights in our intellectual property.

Warranties

We supply the service on an “as-is” and “as-available” basis. Your use of the service is at your own risk and under your liability. We make no warranty that (i) the service will meet your requirements and (ii) the service will be uninterrupted, timely, secure, or error-free and (iii) the results that may be obtained from the use of the service will be accurate or reliable and (iv) the quality of any products, services, information, or other material purchased or obtained by You through the service will meet your expectations, or (v) any errors in the service will be corrected.

Moreover, we do not warrant for any third party content, such as data or information from travel companies, airlines or other agents and cannot ensure its accuracy.

Liabilities

For no case and for no reason shall we be held liable for any damages, direct or indirect, consequential, exemplary, physical or special, to you, any other user or any third party due to its misperformance of duties herein. We provide the services on an AS-IS basis and shall not be held liable, to the extent permitted by law, by any case of misconduct, negligence, gross negligence, malice or any other mean, to any damages or loss of property, including loss of your funds, damages to virtual property, reputation and business reputation, user account information including login information, loss of profits, loss of good name, all resulting from the use or inability to use the services. Our liability for direct damages shall be limited to the fees that you actually paid us during the thirty days prior to the event causing the damage.

Moreover, we do not warrant for any third party content, such as data or information from travel companies, airlines or other agents and cannot ensure its accuracy.

Support

Our support services are dependent on the support package you purchased. We provide support during regular business days and hours (Monday to Friday, 09:00-18:00) via our ticketing service. We also provide critical and emergency support via chat for  clients who purchased such service. No support would be provided without a reference number provided via our ticketing system. Direct communication with our personnel shall not be considered as a support request and shall not incur any responsibility on our behalf to provide support.

Support is provided separately for operational and technical, and each has its own SLA.

Our support is based on the severity factor of your error, based on our specifications in the purchase order you executed with us, and according to the response and resolution times defined in such specifications.

Ignoring requests by support staff or the warnings and notifications in the system and service may cause you additional damages. It is your sole responsibility to act in accordance with the recommendations and requests by the support staff, and you understand that we cannot be held responsible for damages caused due to your actions or misactions relating to them.

Indemnity

We provide limited indemnity, which will be solely in the case where a final judgement will rule that our system, services or browser extension infringed on a third party right, in the case where you made no modification to our intellectual property and only if you provide us the option to manage the defense in such claim and only settle such a claim with our consent.

You will indemnify us against all third party claims that state that your use of our service was in violation of these terms of service, applicable laws or third party rights. Where only if we provide you the option to manage the defense in such a claim and only settle such a claim with your consent.

Terminating Accounts

We shall have the right to terminate your use of the service or to terminate the service at any time and by providing a 30 day prior notice.

Moreover we may terminate your use of the service at any time and without prior written notice in any case where you breached these terms and such breach may cause us irreparable harm.  If we receive a complaint from a third party relating to your use, we may suspend your account or terminate it.

Changes In The Service

We may amend these terms from time to time, provided that you shall be informed through electronic communication on such an amendment and shall be granted the option to terminate your agreements with us by providing a 30 days prior written notice or publishing on our site.

Governing Law, Jurisdiction, No Class Action

The laws of the state of Cyprus shall exclusively govern these terms of service. Any dispute you may raise against us must be brought solely in the competent courts of the Nicosia district. You undertake to initiate only suits on your behalf and not to file any class action lawsuit against us.
